Platform Terms of Use
These Terms and Conditions (the “Terms”) apply to the use of the platform available at https://platform.getsaldo.com (the “Electronic Platform”) by you (“you” or “your”) and the other users of the platform (together with you, the “Users”). The Electronic Platform is operated by Saldo Labs GmbH, c/o Torsten Kühlmann, Polarstraße 43, 95448 Bayreuth, Germany (“Saldo”, “we”, “us” or “our”). Saldo is a digital service provider that offers technical assistance and administrative support services via the Electronic Platform to administer business activities and related support to you and other Users.
Where the Customer has entered into a Service Agreement with Saldo (comprising a Master Service Agreement, its annexes, and an Order Form), the Service Agreement governs the commercial relationship between Saldo and the Customer, including scope, fees, service levels, and data processing. These Terms apply to Authorised Users' day-to-day use of the Electronic Platform and supplement the Service Agreement. In the event of a conflict, the Service Agreement prevails.
By accessing or using the Electronic Platform, each Authorised User agrees to be bound by these Terms. The Customer is responsible for ensuring that all Authorised Users comply with these Terms.
Agreement to the Terms
In order to use the Electronic Platform and the services offered through the Electronic Platform, you must register on the Electronic Platform and agree to the Terms between you and Saldo by selecting the applicable box indicating your agreement during the registration process.

Saldo offers the Platform Services (as defined below) only on the basis of these Terms. Deviating User terms and conditions are expressly rejected. Deviating User terms and conditions shall not become part of the Terms even if Saldo begins to perform the services without having objected to such deviating terms and conditions again.
Scope of the Terms
These Terms apply to you as a User of our Electronic Platform in connection with your use of and/or access to the Platform Services. These Terms apply until terminated pursuant to Clause 14.
Services Provided through the Electronic Platform
Platform Services
The Electronic Platform is a technical infrastructure that provides AI-powered tools and related services to wealth management firms and their authorised personnel. Each User that creates an Account and completes the onboarding process may use the services made available through the Electronic Platform (collectively, the "Platform Services"), the scope of which is determined by the applicable Service Agreement.
Service Agreement
The scope and configuration of the Platform Services is agreed between Saldo and the Customer (as defined in the applicable Master Service Agreement) and is subject to a separate service agreement comprising a Master Service Agreement, its annexes and the Order Form (together, the “Service Agreement”). Access to and use of certain Platform Services requires that you maintain an active Account, that you comply with these Terms and that the terms of the Service Agreement are complied with by the Customer.
Third-Party Services
As part of the Platform Services, we may provide integrations with or referrals to third-party service providers, including AI model providers, CRM systems, data providers and email/calendar platforms. However, any services provided by such third-party service providers (“Third-Party Services”) will be subject to a separate agreement between you (or the Customer) and the third-party service provider. We do not take any responsibility for such Third-Party Services.
No investment, legal or tax advice: Saldo does not provide investment advice, financial advice, legal advice or tax advice. AI-generated outputs, recommendations, prospect summaries and other content made available through the Electronic Platform constitute technical assistance only and do not constitute a personal recommendation within the meaning of applicable financial regulations (including MiFID II or FCA rules). You and the Customer remain solely responsible for all client-facing decisions and recommendations. We encourage you to consult your own legal, tax and compliance advisors in connection with your use of our services.
Who Can Use the Electronic Platform
Authorised Users of wealth management firms only:
Use of the Electronic Platform and the Platform Services is limited to individuals who are Authorised Users of a Customer that has entered into a Service Agreement with Saldo, or individuals otherwise authorised by such a Customer to access the Electronic Platform. The Electronic Platform is not available to consumers or to the general public.
You must at all times be an employee, officer, agent or authorised representative of a Customer to use the Electronic Platform. If your relationship with the Customer ends, you must notify Saldo promptly and your access to the Electronic Platform will be terminated.
Authorised to act: If you are acting on behalf of a legal entity or as a proxy on behalf of another person, you must at all times be legally authorised to carry out your activities on the Electronic Platform for the duration of your use thereof. Saldo reserves the right to require confirmation of such legal authorisation and, if applicable, proof thereof at any time.
One Account for each individual User: You may not have multiple Accounts on the Electronic Platform. Saldo reserves the right to close additional Accounts at any time. You may also not have group Accounts (i.e., Accounts linked to group email addresses).
Open your Account for yourself: You may not open an Account for another person other than yourself. You must use your real name to open your Account.
18 and over only: You may only open an Account if you are at least 18 years old.
User-Uploaded Content
You may upload or input content into the Electronic Platform, including prospect lists, client data, documents, notes and other materials ("User Content"). You are solely responsible for ensuring that you have all necessary rights, authorisations and legal bases to upload such User Content to the Electronic Platform and to grant Saldo the rights of use pursuant to Clause 13.
You may not upload any content to the Electronic Platform that infringes third-party rights, including copyright, trademark or other intellectual property rights, or that violates any confidentiality or non-disclosure obligations owed to a current or former employer, client or other third party.
Saldo has no control over and does not review or monitor User Content for accuracy, completeness or legality. Saldo is not responsible for the accuracy or completeness of User Content.
Saldo has the right to remove any User Content that is uploaded to the Electronic Platform in violation of applicable laws or these Terms.
Acceptable Use Policy
Compliance with legal obligations: You must ensure that you comply with all applicable law, including data protection, financial regulatory and anti-money laundering statutes and regulations, that may apply to your activities on the Electronic Platform. You must consult with your legal and compliance advisors in order to determine what law applies to you and your activities on the Electronic Platform.
Accuracy of User information: You are responsible for ensuring that the personal data and other information you provide to us about you is complete, accurate and up-to-date at all times. You are obligated to update us promptly if any information provided during registration or otherwise no longer meets this requirement. Saldo takes no responsibility for any information submitted to it by a User being complete, accurate or up-to-date.
Accuracy of prospect and client data: You are responsible for ensuring that any prospect or client data you upload to, input into or make available via the Electronic Platform is accurate, lawfully obtained and that you have all necessary consents and legal bases to process such data through the Electronic Platform. Saldo takes no responsibility for any information submitted to it by a User being complete, accurate or up-to-date.
No use of the Electronic Platform for illegal, malicious or fraudulent purposes: You may not use the Electronic Platform for any purpose that is illegal, malicious or fraudulent.
No use of the Electronic Platform for competitive or marketing purposes: You may not use the Electronic Platform, or the data or information contained therein or made available thereby, for any purpose competitive to any part of Saldo’s business model, our Electronic Platform or the Platform Services, including monitoring or tracking the Electronic Platform’s availability, performance or functionality, mirroring the Electronic Platform or interfering with the Electronic Platform’s code or data or any trademarks contained on the Electronic Platform. You may not scrape the Electronic Platform for data or information or use similar extraction tools.
Use of the Electronic Platform for its intended purpose: You may only use the Electronic Platform, and the data or information contained therein or made available thereby, for the business purposes for which the Platform Services are provided under the applicable Service Agreement. Any other use is unauthorised and a breach of these Terms.
Use of information: You must ensure that any information you provide to us or upload or distribute via the Electronic Platform complies with all regulatory, contractual and corporate obligations (including confidentiality obligations), and you may only download or use information from the Electronic Platform in compliance with such obligations.
Responsible content and use: We do not permit content on, or use of, the Electronic Platform that is illegal, offensive, racist, discriminatory, pornographic or obscene (“Prohibited Content”). We also do not permit content on the Electronic Platform that is reasonably likely to result in injury or loss to Saldo or other Users (whether personal or monetary or otherwise). You may not use the Electronic Platform to generate Prohibited Content, spam or junk emails or to impersonate Saldo.
Access to Your Account and Confidentiality of Log-In Data
You are required to keep your log-in data confidential at all times. You may not provide your log-in data to third parties. If you require that a third party have access to your Account, you must request separate access from Saldo or your Customer’s account administrator. If you have reason to believe that a third party has or may have access to your log-in data, you are required to inform Saldo immediately, so that we can suspend access to your Account and enable you to reset your password.
AI-Generated Content and Outputs
The Electronic Platform uses artificial intelligence, machine learning and large language models to generate content, including summaries, assessments, recommendations and draft communications (collectively, “AI-Generated Content”).
AI-Generated Content is probabilistic in nature and may contain errors, omissions, inaccuracies or outdated information, even where the underlying data is accurate and complete. You should not rely on AI-Generated Content as the sole basis for any decision without independent verification.
AI-Generated Content does not constitute investment advice, financial advice, legal advice, tax advice or a personal recommendation within the meaning of any applicable financial regulation. You and the Customer remain solely responsible for all client-facing decisions and communications.
No outbound communication generated or drafted by the Electronic Platform (including emails, messages or other correspondence to prospects or clients) shall be sent without prior review and approval by an Authorised User. You acknowledge that you are responsible for reviewing and approving any such communication before it is sent.
Saldo does not use Customer Data or User data for the training of AI models. Data is processed solely for the purpose of providing the Platform Services to the Customer.
Confidentiality
Any non-public information made available to you through the Electronic Platform, including Saldo Content, AI-Generated Content, prospect data, analytics and other outputs, is confidential ("Confidential Information"). You shall not disclose Confidential Information to any person other than as necessary for the purposes for which the Platform Services are provided, and subject to appropriate confidentiality obligations.
The obligation in Clause 9.1 does not apply to information that: (a) is or becomes publicly available other than through a breach of these Terms; (b) was lawfully known to you prior to disclosure through the Electronic Platform; (c) is received by you from a third party who is not bound by any obligation of confidentiality in respect of such information; or (d) is required to be disclosed by law, regulation or order of a court or competent authority, provided that you give Saldo reasonable prior notice of such required disclosure to the extent legally permitted.
Where a separate confidentiality or non-disclosure agreement has been entered into between the Customer and Saldo, the terms of that agreement shall prevail over this Clause 9 to the extent of any conflict.
The pricing and commercial terms of any Service Agreement are confidential and may not be disclosed to third parties except to professional advisors under confidentiality obligations or as required by law.
The obligations under this Clause 9 shall survive termination of these Terms.
Data Protection
For all information related to the processing of personal data by Saldo in its capacity as controller, please refer to our Privacy Policy available at https://www.getsaldo.com/privacy. You must accept our Privacy Policy in order to access and use our Electronic Platform.
Where Saldo processes personal data on behalf of the Customer as processor, such processing is governed by the Data Processing Agreement set out in the applicable Service Agreement. The categories of personal data processed and the purposes of processing are described in that agreement.
You are responsible for ensuring that your use of the Electronic Platform, including any prospect or client data you upload to, input into or access through the Electronic Platform, complies with all applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and, where applicable, the UK data protection regime. This includes ensuring that you have a valid legal basis for processing such data through the Electronic Platform.
You acknowledge that the Platform Services involve the processing of personal data using AI technologies, including large language models operated by third-party providers. Details of such processing are set out in the Data Processing Agreement.
Accuracy of Saldo Content and Availability of the Electronic Platform
The Electronic Platform and the information made available by Saldo on the Electronic Platform, including any AI-Generated Content, prospect data, analytics, notifications and other outputs (“Saldo Content”), have been created with great care. However, we cannot guarantee that the Electronic Platform and the Saldo Content are at all times accurate, complete and up-to-date. The Saldo Content depends significantly on the accuracy, completeness and currentness of the information provided by you, the Customer and third-party data sources. Furthermore, AI-generated outputs are inherently probabilistic and may produce results that are incorrect, incomplete or misleading even where the underlying data is accurate. Saldo expressly excludes any guarantee or warranty in respect of the accuracy or reliability of AI-Generated Content.
The Saldo Content may include information sourced by Saldo from third-party data providers, public registers, websites and other external sources ("Third-Party Data"). Saldo does not verify the accuracy, completeness or currentness of Third-Party Data and is not responsible for any errors, omissions or outdated information contained in such sources. The inclusion of Third-Party Data in the Saldo Content does not constitute an endorsement by Saldo of any third-party data provider or its content. You should independently verify any Third-Party Data before relying on it for business decisions.
The Electronic Platform may not be available at all times. This may be due to regular or unscheduled maintenance work, internet outages or other planned or unplanned downtimes. Saldo endeavours to inform Users of planned downtimes and to keep any downtimes as short as practicable. Clause 13 shall apply in respect of any damages a User may suffer as a result of the Electronic Platform not being accessible.
The Electronic Platform requires an internet connection as well as a device and browser capable of accessing the internet. Saldo is entitled to adapt and change the technical requirements for the use of the Platform Services at any time if this corresponds to the state of the art or appears appropriate for reasons of security. It is your responsibility to keep the technical requirements up to date. You do not have a right to access the Electronic Platform in earlier versions.
Right of Use
Unless otherwise granted in these Terms, Saldo retains all intellectual property rights in and to the Electronic Platform and the Saldo Content, in particular with respect to software, AI models, databases, trademarks and other copyrightable works.
Saldo hereby grants to you a non-exclusive, non-transferable, non-sublicensable, limited-in-time and revocable right to use the Electronic Platform and the Saldo Content for the sole purpose of using the Platform Services as agreed in these Terms and in the applicable Service Agreement. Any other use of the Electronic Platform and the Saldo Content is prohibited.
You hereby grant Saldo a non-exclusive, transferable, sublicensable, unlimited-in-time and irrevocable right to use all information and communications, including any Third-Party Content, uploaded to, or communicated or distributed via, the Electronic Platform by you for the purpose of providing the Platform Services as agreed in these Terms and in the applicable Service Agreement. This includes the right to process, download and store documents and communications made on the Electronic Platform. You also grant Saldo a non-exclusive, transferable, sublicensable and unlimited-in-time right to use any feedback relating to the Electronic Platform as provided by you to Saldo for purposes of analysing, improving and/or expanding the Electronic Platform and the Platform Services.
You hereby grant the other Users of the Electronic Platform a non-exclusive, non-transferable, non-sublicensable and limited-in-time right to use all information and communications uploaded to, or communicated or distributed via, the Electronic Platform by you for the purpose of using the Platform Services as agreed in these Terms and in the applicable Service Agreement.
Liability
Saldo and its affiliates (together, the “Saldo Group”), together with their respective directors, officers, employees, agents, representatives, subcontractors, successors, permitted assigns and related persons (collectively, the “Saldo Personnel”), shall not be liable for any claims, liabilities, damages, losses, costs, or expenses, whether direct or indirect, arising out of or in connection with these Terms and the provision of the Platform Services, irrespective of legal ground (together, “Losses”), unless and to the extent expressly provided otherwise in this Clause 14.
The foregoing limitation in Clause 14.1 does not apply to any Losses caused by a breach of a Material Contractual Obligation, provided that, in such case, liability shall only extend to Losses that are foreseeable at the time of conclusion of these Terms and characteristic for this type of contract. A “Material Contractual Obligation” is an obligation, the fulfilment of which is essential for the proper performance of these Terms and on whose fulfilment you may reasonably rely.
Clauses 14.1 and 14.2 do not apply to Losses:
in the event and to the extent due to the applicability of any mandatory statutory liability (e.g., due to product liability statutes);
in the event and to the extent that the relevant member of the Saldo Group or the relevant Saldo Personnel has expressly given a guarantee (German: Garantie);
in the event and to the extent resulting from culpable injury to life, personal injury or health of persons; and
caused by the gross negligence or wilful misconduct of any member of the Saldo Group or the relevant Saldo Personnel.
None of Saldo, any other member of the Saldo Group nor the Saldo Personnel is liable for damages caused by disruptions in performance due to force majeure, in particular strikes, lockouts, official orders, natural disasters, war, terrorist attacks, reactor accidents, trade embargoes, epidemics or pandemics, failure of communication networks or network infrastructure or disruptions in the services of carriers.
Both Saldo and you are required to take such actions as may be necessary to mitigate any damages as much as possible. In your case, this also includes the creation of regular backups of data that is processed on the Electronic Platform, as Saldo does not provide data backup services. Therefore, to the extent Saldo would be liable in principle for any loss of data, such liability is limited to the amount that would be needed to restore the lost data from a backup if it had been backed up properly beforehand.
Termination of These Terms and Your Account; Suspension
These Terms apply for an indefinite period of time.
Saldo may terminate these Terms with you immediately and without prior notice if:
the Service Agreement between Saldo and the Customer under which you receive Platform Services is terminated or expires;
the Customer notifies Saldo that you are no longer an Authorised User;
Saldo has reasonable grounds to suspect unauthorised, illegal or fraudulent use of your Account and the authorised and legal use of your Account cannot be assured;
Saldo has reasonable grounds to suspect that the security or integrity of your Account has been compromised and the security and integrity of your Account cannot be assured; or
in respect of you, Saldo or any Saldo affiliate: (i) insolvency proceedings have been commenced, (ii) an application for voluntary insolvency proceedings has been filed or (iii) any insolvency proceedings have been rejected for lack of assets.
Saldo may further terminate these Terms with you upon fourteen (14) days’ notice to you if:
you fail to comply with any provision of these Terms; or
your Account has not been accessed for a minimum of fourteen (14) months, provided that you have not rectified the circumstances leading to such termination within fourteen (14) days (the “Cure Period”) from receipt by you of the notice of termination in your Account.
In addition, we may suspend some or all of your ability to access and use the Electronic Platform or deactivate your Account:
in the event of a material violation by you of these Terms;
upon the occurrence of the circumstances set forth in Clauses 15.2.3, 15.2.4 or 15.2.5;
the occurrence of the circumstances set forth in Clause 15.3, for the duration of the Cure Period; or
if reasonably necessary to avoid or minimise damage or loss to the Electronic Platform, Saldo, Saldo’s affiliates or any User.
You may terminate your Account upon thirty (30) days’ written notice to us at hello@getsaldo.com, subject to the terms of the applicable Service Agreement.
Notwithstanding the above, the right to terminate these Terms for good cause (German: wichtiger Grund) remains unaffected for Saldo and the User.
If the Terms are terminated, Clauses 13, 14, 17 and 18 shall continue to apply.
Upon termination of these Terms, Saldo will delete your Account and your personal data to the extent we do not retain it in accordance with our Privacy Policy or applicable law.
Changes to These Terms
Saldo may amend or supplement provisions of these Terms at any time with effect for the future (i) in order to ensure compliance with changes in the legal or regulatory framework, (ii) in order to reflect technically necessary adjustments to the Electronic Platform, (iii) due to the expansion, modification or adjustment of the Platform Services, (iv) to reflect any future adjustments in fees or (v) to correct any error in the Terms.
You will be informed about any amendment or supplement to the Terms by email or via notification in your Account at the latest fourteen (14) days before effectiveness of the updated Terms.
You will have fourteen (14) days after receipt of notification to object to the updated Terms in writing (Textform) delivered to Saldo. If you continue to use the Electronic Platform following the expiry of such fourteen (14)-day period, you shall be deemed to have consented to the amendment or supplement.
If you object to the amended or supplemented Terms, we may not be able to provide services to you. We are entitled to terminate these Terms with you with thirty (30) days’ notice if you object to the amended or supplemented Terms.
Notices
We may contact you by means of email or as a notification in your Account. Any notices delivered to you via email or your Account will be deemed received by you two (2) working days following dispatch by us. You agree to keep us informed of any changes in your email address.
Any notices to be delivered to Saldo under these Terms should be addressed to hello@getsaldo.com.
Governing Law and Jurisdiction
These Terms are governed by the laws of Germany. The UN Convention on Contracts for the International Sale of Goods does not apply. The courts of Berlin, Germany shall have exclusive jurisdiction over any disputes related to these Terms.
Additional Provisions
Translations for convenience: Saldo may provide a translation of the Terms for convenience. If Saldo provides such a translation, the English language version of the Terms shall prevail in case of any conflict or inconsistency.
Assignments: Saldo has the right to assign these Terms to any of our affiliates at any time subject to notice to you.
Partial invalidity: In the event that any of the provisions of these Terms should be found to be invalid, the validity of the remainder of these Terms shall remain unaffected.
